Acceptance of Terms

Welcome to INA. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Adsail LLC, doing business as INA ("INA," "we," "us," or "our"). By accessing or using our website, mobile applications, telehealth platform, or any related services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our HIPAA Notice of Privacy Practices. If you do not agree to these Terms, you must not access or use our Services.

Description of Services

INA is a direct-to-consumer telehealth platform that connects patients with independent, board-certified healthcare providers for virtual medical consultations, treatment planning, and prescription services. Our Services include, but are not limited to:

• Asynchronous and synchronous telehealth consultations with licensed physicians and healthcare providers
• Health intake assessments and ongoing treatment monitoring
• Prescription services for FDA-approved and compounded medications, including weight loss treatments, anti-aging therapies, and longevity supplements
• Coordination of prescription fulfillment through licensed pharmacies with home delivery
• Ongoing care management through our Bask Health platform integration

INA does not itself provide medical care. Medical services are provided by independent, licensed healthcare providers through the OpenLoop physician network. These providers exercise independent medical judgment and are solely responsible for all clinical decisions, diagnoses, and prescriptions.

Eligibility

To use our Services, you must be at least 18 years of age, reside in a state where our Services are available, and be legally capable of entering into a binding agreement. You must provide truthful, accurate, and complete information during the registration and health intake process. Providing false or misleading health information may result in inappropriate treatment and could endanger your health. We reserve the right to refuse or terminate service to anyone at our sole discretion.

Account Registration

To access certain features of our Services, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to protect your account credentials. You may not share your account with others, and each account is intended for use by a single individual.

Telehealth Services

Our telehealth services are provided by independent, licensed healthcare providers and are not a substitute for in-person medical care, emergency services, or your primary care physician. You acknowledge and understand that:

• Telehealth consultations have inherent limitations, and a healthcare provider may determine that your condition is not appropriate for telehealth treatment
• A healthcare provider may decline to prescribe medication or recommend a treatment if, in their independent medical judgment, it is not clinically appropriate
• You should seek emergency medical services by calling 911 or visiting your nearest emergency room for any medical emergencies
• Telehealth services do not replace the relationship you have with your primary care physician, and you are encouraged to inform your primary care provider about any treatments received through INA

Prescription Medications

Prescription medications are prescribed at the sole discretion of the treating healthcare provider based on their clinical evaluation. A prescription is not guaranteed for any consultation. All medications are dispensed by licensed pharmacies in accordance with applicable federal and state laws. You agree to use all prescribed medications only as directed by your healthcare provider and to promptly report any adverse reactions or side effects. INA is not responsible for adverse outcomes resulting from failure to follow prescribed treatment instructions, failure to disclose relevant medical history, or misuse of prescribed medications.

Payments and Subscriptions

Certain Services require payment. By providing payment information, you authorize us to charge the applicable fees to your designated payment method through our payment processor, Stripe. All payment information is processed securely by Stripe in accordance with Payment Card Industry Data Security Standards (PCI DSS). We do not store your complete payment card information on our servers.

Subscription services are billed on a recurring basis (monthly or as otherwise specified at the time of purchase). Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date. Prices are subject to change, and we will provide reasonable advance notice of any price increases.

All fees are non-refundable except as expressly stated herein or as required by applicable law. Consultation fees are earned upon completion of the medical evaluation by the healthcare provider, regardless of whether a prescription is issued.

Cancellation Policy

You may cancel your subscription at any time through your account settings or by contacting our support team. Cancellation will take effect at the end of your current billing period, and you will retain access to your subscription benefits until that date. No partial refunds will be issued for unused portions of a billing period.

If you have an active prescription order that has already been shipped or is being prepared for shipment at the time of cancellation, that order will be fulfilled and charged as scheduled. You may also be responsible for any medications that have already been compounded or dispensed on your behalf prior to cancellation.

Intellectual Property

All content, materials, trademarks, logos, designs, text, graphics, software, and other intellectual property displayed on or through our Services are the property of Adsail LLC or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for personal, non-commercial purposes. You may not copy, modify, distribute, sell, lease, or create derivative works based on our content or intellectual property without our prior written consent.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INA, ADSAIL LLC, AND THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

INA does not provide medical services directly. Medical care is provided by independent healthcare providers, and INA shall not be liable for any acts or omissions of these independent providers. The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Miami-Dade County, Florida. By using our Services, you consent to the personal jurisdiction of these courts and waive any objections based on venue or inconvenient forum.
